Terms of Service

These Terms of Service govern your access to and use of SportGraphics, including the web application, templates, rendering tools, storage features, billing features, and related services.

1. Agreement to these Terms

These Terms of Service are a legal agreement between you and SportGraphics. By creating an account, accessing the Service, clicking to accept these Terms, starting a subscription, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy.

If you use the Service for a club, school, company, league, agency, or other organization, you represent that you are authorized to accept these Terms on that organization's behalf. In that case, "you" and "your" include that organization.

If you do not agree to these Terms, do not access or use the Service.

2. The Service

SportGraphics is a software-as-a-service platform for creating soccer and matchday graphics, including goal, lineup, substitution, result, roster, background, animation, and related creative assets.

The Service may include templates, design tools, rendering tools, cloud storage, account features, billing features, background removal, AI-assisted image generation, and export functionality. We may add, modify, suspend, or discontinue features from time to time.

3. Eligibility and accounts

  • You must be at least the age of majority where you live, or have a parent or legal guardian accept these Terms for you.
  • You are responsible for keeping your login credentials secure and for all activity under your account.
  • You must provide accurate account, billing, and contact information and keep it current.
  • You must notify us promptly if you believe your account has been compromised.

4. Plans, subscriptions, and payment

Some features are free, and others require a paid plan. Plan descriptions, prices, quotas, limits, and included features are shown in the Service or at checkout and may change prospectively.

  • Paid subscriptions renew automatically until canceled unless stated otherwise at checkout.
  • Payments are processed by Stripe or another payment processor. We do not store full payment card numbers.
  • You authorize us and our payment processor to charge applicable subscription fees, taxes, and other charges for the plan you select.
  • You can cancel or manage a subscription through the billing portal when available. Cancellation stops future renewals; it does not automatically refund amounts already paid unless required by law or expressly stated by us.
  • We may suspend paid features if payment fails, a subscription ends, or we reasonably believe the account is fraudulent or abusive.

5. Your content

"User Content" means content you or your authorized users upload, create, submit, store, or generate through the Service, including club names, crests, brand colors, roster details, player names, player images, opponent information, prompts, generated graphics, rendered exports, and uploaded files.

You retain ownership of your User Content, subject to the licenses you grant in these Terms. You grant SportGraphics a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, create derivative works from, and otherwise use your User Content as necessary to provide, secure, support, improve, and operate the Service.

You represent and warrant that you have all rights, permissions, and consents needed to upload and use your User Content, including rights to club marks, sponsor marks, player names, player images, and images of minors. If User Content depicts a minor, you are responsible for obtaining any required parent, guardian, club, school, or league consent.

6. Outputs and templates

As between you and SportGraphics, you own your original User Content. To the extent permitted by applicable law and subject to these Terms, you may use the graphics and exports you create through the Service for your own club, team, marketing, editorial, and social media purposes.

SportGraphics retains all rights in the Service, software, workflows, templates, template logic, sample assets, UI, brand, documentation, and other materials we provide. Your use of a template or design tool does not transfer ownership of that template or tool to you.

AI-assisted outputs may not be unique, and similar or identical output may be generated for other users. We do not guarantee that AI-assisted output is protectable, non-infringing, accurate, suitable for every use, or free from visual defects.

7. AI and media processing features

The Service may use third-party AI, rendering, storage, and media processing providers to perform background removal, pose generation, reference analysis, image generation, animation remixing, and related functions. By using those features, you authorize us to send the relevant User Content, prompts, and output data to those providers as needed to process your request.

  • You must not upload unlawful, non-consensual, misleading, or infringing images or prompts.
  • You must review outputs before publishing them, especially outputs involving player likeness, identity, sponsors, scores, statistics, or club branding.
  • You are responsible for obtaining permissions required for use of a person's name, image, likeness, voice, team affiliation, or other publicity rights.
  • We may restrict, disable, or refuse AI or media processing requests that we believe violate these Terms, applicable law, provider rules, or platform safety requirements.

8. Acceptable use

You agree not to:

  • use the Service for unlawful, harmful, deceptive, or abusive purposes;
  • upload or generate content that infringes intellectual property, privacy, publicity, or other rights;
  • create non-consensual intimate imagery, harassment, hate, threats, deepfakes intended to deceive, or content exploiting minors;
  • interfere with or disrupt the Service, probe or bypass security, or access non-public systems or data;
  • scrape, copy, reverse engineer, resell, or misuse the Service except as allowed by law and these Terms;
  • remove watermarks or usage limits except through an authorized paid plan; or
  • use the Service to train competing models, build a competing product, or benchmark the Service for competitive purposes without our written permission.

9. Intellectual property

The Service and all SportGraphics technology, branding, visual design, code, template systems, documentation, and non-user materials are owned by SportGraphics or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service according to these Terms.

SportGraphics, the SportGraphics logo, and related product names are our trademarks or brand identifiers. You may not use them in a way that suggests endorsement, sponsorship, or affiliation without our permission.

10. Third-party services

The Service may depend on third-party services such as hosting, authentication, database, storage, payment, analytics, AI processing, image generation, rendering, and email providers. Those services may have their own terms and privacy practices. We are not responsible for third-party services that we do not control, but we use them to provide and support the Service.

11. Copyright and rights complaints

If you believe content in the Service infringes your copyright, trademark, publicity, privacy, or other rights, contact us through the support or account contact options available in the Service. Include enough information for us to identify the content, the rights at issue, your contact information, and a statement that you have a good-faith belief the disputed use is unauthorized.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, and retain personal information. By using the Service, you acknowledge our Privacy Policy.

13. Service availability and changes

We aim to keep the Service reliable, but we do not guarantee that it will be uninterrupted, secure, error-free, or available at all times. We may perform maintenance, change features, impose limits, or suspend parts of the Service where reasonably necessary.

Beta, experimental, or preview features may be changed or discontinued at any time and may produce unexpected results.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create risk or liability, fail to pay fees, or use the Service in a way that may harm SportGraphics, users, third parties, or the integrity of the Service.

After termination, your right to use the Service ends. We may retain or delete User Content according to our Privacy Policy, backup practices, legal obligations, and legitimate business needs.

15. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, and availability.

We do not guarantee that templates, graphics, exports, AI outputs, player likenesses, scores, names, statistics, sponsor marks, or other content will be accurate, lawful, suitable, or accepted by any social platform, league, sponsor, or governing body.

16. Limitation of liability

To the maximum extent permitted by law, SportGraphics and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, content, or business opportunities.

To the maximum extent permitted by law, our total liability for any claim relating to the Service or these Terms will not exceed the greater of: (a) the amounts you paid to SportGraphics for the Service in the three months before the event giving rise to the claim; or (b) CAD $100.

17. Indemnity

You will defend, indemnify, and hold harmless SportGraphics and its affiliates, officers, employees, contractors, licensors, and service providers from and against claims, damages, liabilities, losses, and expenses, including reasonable legal fees, arising from or relating to your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

18. Governing law and disputes

Unless applicable consumer protection law requires otherwise, these Terms are governed by the laws of Ontario, Canada and the applicable federal laws of Canada, without regard to conflict-of-law rules. The courts located in Ontario, Canada will have exclusive jurisdiction over disputes that are not required to be handled elsewhere by applicable law.

Before filing a claim, you agree to contact us and try to resolve the dispute informally. Nothing in these Terms limits rights that cannot be waived under applicable law.

19. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify you, such as by posting the updated Terms, updating the date above, or providing in-app or email notice. Your continued use of the Service after changes become effective means you accept the updated Terms.
